1. Agreement to Terms

By accessing or using the Cogentic platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Services.

2. Description of Services

Cogentic provides compliance infrastructure for Virtual Asset Service Providers (VASPs), including Travel Rule compliance automation, risk assessment, sanctions screening, and VASP network connectivity.

3. Account Registration

To use our Services, you must:

Be a registered VASP or financial institution

Provide accurate and complete registration information

Maintain the security of your account credentials

Notify us immediately of any unauthorised access

4. Acceptable Use

You agree not to use the Services to:

Violate any applicable laws or regulations

Facilitate money laundering or terrorist financing

Circumvent sanctions or compliance requirements

Interfere with the operation of the Services

Access the Services through automated means without authorisation

5. Service Level Agreement

We commit to 99.9% uptime for our production Services. Scheduled maintenance windows will be communicated in advance. Credits for downtime exceeding our SLA are available as specified in your service agreement.

6. Fees and Payment

Fees for the Services are as specified in your subscription agreement. All fees are non-refundable unless otherwise stated. We reserve the right to modify pricing with 30 days' notice.

7. Data Processing

You grant us the right to process data submitted to the Services as necessary to provide the Services. You represent that you have all necessary rights and consents to submit data for processing.

8. Intellectual Property

The Services, including all software, documentation, and content, are owned by Cogentic and protected by intellectual property laws. Your use of the Services does not grant you any ownership rights.

9. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information exchanged in connection with these Terms. This obligation does not apply to information that is publicly available or required to be disclosed by law.

10. Limitation of Liability

To the maximum extent permitted by law, Cogentic shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

11. Indemnification

You agree to indemnify and hold harmless Cogentic from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.

12. Termination

Either party may terminate these Terms with 30 days' written notice. We may suspend or terminate your access immediately if you breach these Terms or engage in prohibited activities.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of New South Wales.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified 30 days in advance. Continued use of the Services after changes constitutes acceptance of the modified Terms.
